Partner closely with the Venture Capital investment team throughout the investment lifecycle, providing practical legal advice on prospective and existing investments.
Lead the legal review, drafting and negotiation of investment documentation, including term sheets, equity financing documents, shareholder agreements, NDAs and ancillary transaction documents.
Conduct legal due diligence and advise investment professionals on legal, commercial and execution risks associated with venture investments.
Support portfolio company matters, governance issues and ongoing legal requirements following investment.
Advise on legal and regulatory matters affecting an SEC-registered investment adviser, including investment management and corporate operations.
Assist with investor documentation, limited partner matters and broader fund-related legal work where required.
